Terms of Service

Draft — not yet in force. This document is being reviewed before Lextra launches, and its wording may change. Points marked “To confirm” are still being settled.

These terms govern the use of Lextra.ai: the website at lextra.ai, the application at app.lextra.ai, and the emails and services that come with them (together, the Service). Please read them with our Privacy Policy, which explains how we handle personal data.

1. Who these terms are between

The Service is provided by [To confirm: registered company name] (“Lextra”, “we”, “us”), a private limited company incorporated in the United Kingdom under company number [To confirm: company number], whose registered office is at [To confirm: registered office address].

These terms are a contract between us and the organisation that creates or joins a workspace on the Service (the “Customer”, “you”). If you accept them on behalf of an organisation, you confirm that you are authorised to bind it. Every person who uses the Service in the Customer’s workspace (a “User”) must also follow them, and the Customer is responsible for its Users.

The Service is for businesses. It is not offered to consumers, and by using it you confirm that you are acting for the purposes of your trade, business or profession.

2. The Service

Lextra is regulatory intelligence for the iGaming industry. It includes a library of country reports, Q&As and primary legal sources; monitoring of regulatory developments, which our editors verify before they are published; an AI advisor that answers questions and cites its sources; and, on paid plans, answers that take account of your company’s profile, the facts you confirm and the documents you choose to attach.

The Service also lets you find law firms whose identity and credentials we have verified, put questions to an advisor a firm has configured, and send a firm an enquiry (section 8).

We develop the Service continuously and may add, change or remove features. We will not materially reduce the core features of a paid plan during a billing period you have paid for.

Lextra provides access to legal and regulatory resources and a directory of independent verified experts. Lextra does not provide legal services.

Lextra provides regulatory research, interpretation and decision support. It is not a lawyer and does not give an individual legal opinion.

Using the Service, including the advisor, does not create a lawyer–client relationship with us. The Service supports your own judgement; it does not replace it. You remain responsible for your decisions and for complying with the laws that apply to you. Before acting on anything that affects your licences, your obligations or your customers, take advice from a qualified lawyer in the relevant jurisdiction.

The advisor’s answers are generated automatically. They cite the sources they rely on, and where sources conflict the answer says so, but an answer can still be incomplete, out of date or wrong. Check the cited sources before relying on an answer.

Every answer is labelled with whose guidance it is: Lextra research, AI guidance approved by a law firm, or a response reviewed by a lawyer at a firm. Guidance and responses from a firm are that firm’s, not ours.

An answer that draws on information you gave us, such as your company profile, facts you confirmed or a document you attached, is only as accurate as that information. Reviewing a document with the advisor does not show that your business complies with the law in practice.

4. Accuracy and timing

We take reasonable care over the content we publish and cite the sources behind it. A regulatory development reaches Users only after one of our editors has verified it.

Laws change, and official sources can be unavailable, incomplete or published late. We show when each source was last checked and where we do not monitor a jurisdiction. Any timing we describe, such as how quickly we aim to reflect a change, is a target and not a guarantee.

Primary legal sources in the library are reproduced from official publications. If our copy differs from the official version, the official version prevails.

5. Accounts and workspaces

Accounts are personal. Keep your sign-in details confidential, do not share them, and tell us at support@lextra.ai as soon as you suspect that someone has used your account without permission.

Each workspace belongs to one organisation. Its owners and admins manage members, billing, company information, data exports and deletion, and are responsible for whom they invite.

Give us accurate information when you register and keep it up to date. Some features need a verified email address.

6. Plans, fees and payment

Free plan. Every workspace starts on the free plan, with no card. It includes what our Plans page describes, including a monthly allowance of advisor questions, and we may change what it includes.

Paid plans. A paid plan is priced per seat and billed monthly or annually, as you choose at checkout. Each seat is charged at the price of the band its position falls in: the first three seats at the Team price, seats 4 to 10 at the Department price, and seat 11 onwards at the Business price. The fees are those shown at checkout. You choose the currency at checkout, and it stays the same for the life of the subscription. Adding or removing seats changes your fees [To confirm: how seat changes are charged during a billing period].

Renewal. A subscription renews automatically at the end of each billing period, for another month or year, at the price current at renewal, unless it is cancelled before that period ends.

Cancellation. An owner or admin can cancel in Settings → Billing. Cancelling stops the next renewal. The plan and its access continue until the end of the current billing period, and the workspace then returns to the free plan with its data intact. Fees already paid are not refundable, except where these terms or the law say otherwise.

Payment. Card payments are processed by our payment provider, Stripe; we never see or store your full card details. Annual plans of 11 or more seats can instead be paid by invoice and bank transfer, on the terms stated on the invoice. Fees exclude VAT and other taxes, which we add where they apply. If a payment fails and is still unpaid after the payment provider’s retries, the workspace falls back to the free plan until it is paid, and the amounts due remain payable.

Offers. An offer, such as Early Bird pricing or a discount for paying annually in advance, applies only on the terms stated with it. Early Bird applies to annual plans only, and renewals after it are at the plan’s usual price.

Access without a subscription. We may give a workspace paid features without a subscription, for example as a design partner or as a promotion for a set period. Access granted for a set period ends on its end date, and we tell the workspace’s owners and admins before it does. The workspace then returns to the free plan with its data intact. We may end access that was granted without an end date by giving reasonable notice.

7. Acceptable use

You must not, and must not allow anyone else to:

  • use the Service unlawfully, or to mislead anyone about what a law requires;
  • copy, scrape, harvest or bulk-download the library, answers or sources, or access the Service by automated means other than the features we provide;
  • resell, sublicense or publish the Service or its content, or share it outside your organisation except as section 10 allows;
  • use the Service or its content to build a competing product or to train an AI model;
  • probe, scan or test the security of the Service, or try to reach another organisation’s data;
  • reverse engineer the Service, except to the extent the law allows despite this restriction;
  • upload anything you do not have the right to share, or anything that contains malicious code;
  • exceed our fair-use limits, such as the limit on advisor questions per hour, or try to get around them.

We may limit, suspend or block use that breaks this section or puts the Service or other customers at risk (section 13).

8. Law firms and enquiries

Verification. Before a firm’s advisor is public, we verify the firm’s identity and relevant credentials. Verification is not a guarantee of any answer and not an endorsement of the quality of a firm’s services. When we suggest firms, we show why each one was suggested.

Firm advisors. A firm’s advisor answers from that firm’s approved knowledge and primary legal sources, not from Lextra’s editorial content. Its answers are the firm’s guidance and are labelled as such.

Enquiries. Sending a firm an enquiry shares the material you select with that firm, and nothing else. An enquiry is not an engagement: the firm may accept or decline it, and no lawyer–client relationship exists until you and the firm agree one directly. Firms on Lextra undertake to reply to an enquiry within two business days, even if only to decline, but we cannot guarantee that a firm will reply or accept.

We are an introducer only. We are not a party to any engagement between you and a firm. We are not responsible for a firm’s advice, conduct or fees, and we take no referral fee. The terms and fees of any engagement are between you and the firm.

If you are a law firm. A firm that sets up a workspace, configures an advisor or receives enquiries also agrees to our firm terms [To confirm: firm terms, to be published], which cover confidentiality, conflict checks, replying to enquiries and the claims a firm makes about its services.

9. Your content

“Your content” is what you and your Users put into the Service: questions and conversations, your company profile, the facts you confirm and your scenarios, the documents you upload, your enquiries and your feedback.

You keep all rights in your content. You give us permission to host, copy, process and transmit it only as needed to provide, secure and support the Service for you, including through the service providers named in our Privacy Policy.

It stays in your organisation. Your company information, documents and conversations belong to your workspace. We do not show them to other customers, use them in answers for anyone else, or keep them in any cache shared between organisations. The only way any of it reaches a law firm is an enquiry you send.

It is not used to train AI. We do not use your content to train AI models, and our AI provider does not use it to train its models under the terms on which we use its service.

Quality review. To check that answers are accurate, authorised Lextra staff review a sample of advisor questions and answers, and the answers Users mark as not useful. Answers that drew on your company information or documents are left out of that review, unless you flag one for review, and then we see only that answer.

You are responsible for your content, and you confirm that you have the right to provide it to us. Do not upload more personal data than the task needs.

Where your content contains personal data, we process it on your behalf under our Data Processing Agreement [To confirm: Data Processing Agreement, to be published], which forms part of these terms.

10. Our content and intellectual property

The Service, including its software and design and the library’s reports, Q&As, summaries and other editorial content, belongs to us or our licensors.

While your workspace has access to it, your Users may use the content available to them for your organisation’s internal business purposes, and may share extracts, attributed to Lextra, within your organisation and with your professional advisers. Anything beyond that needs our written permission. You may use the answers the advisor gives you for your internal business purposes.

Primary legal sources are reproduced from official publications and remain subject to their publishers’ rights and terms.

If you send us feedback or suggestions, we may use them without any obligation to you.

You may not use our name or logo without our permission.

11. Confidentiality

Each of us will keep the other’s confidential information confidential and use it only to perform these terms. Your content is your confidential information. This does not apply to information that is or becomes public other than through a breach of these terms, that the recipient already had or develops independently, or that the law requires to be disclosed, in which case the recipient will give notice where it lawfully can.

12. Availability and support

We aim to keep the Service available and to fix problems promptly, but we do not promise that it will be uninterrupted or free of errors. We may interrupt it for maintenance, and will give notice of planned interruptions where we reasonably can.

Support is by email, at support@lextra.ai. We aim to reply within one business day on paid plans, and as soon as we can on the free plan; these are targets, not guarantees.

We are not responsible for any delay or failure caused by events beyond our reasonable control.

13. Suspension and termination

You may stop using the Service at any time. A paid plan ends as section 6 describes. Owners and admins can delete the workspace in Settings; cancelling or deleting a workspace does not reduce the amounts due for the current billing period.

We may suspend or end your access if you materially breach these terms, including by not paying, and do not put the breach right within 14 days of our notice. We may act immediately where that is needed to protect the Service or other customers, or to comply with the law.

We may stop providing the Service altogether by giving at least 60 days’ notice, and will refund any fees paid in advance for the period after it stops.

If we end your access, we will give you a reasonable opportunity to export your data first, unless the law prevents it.

Sections 3, 6 (for amounts due), 9 to 11, 14 and 16 continue to apply after these terms end.

14. Liability

Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded by law.

Subject to that, we are not liable for:

  • any indirect or consequential loss;
  • loss of profit, revenue, business, contracts, goodwill or anticipated savings;
  • regulatory fines, penalties or sanctions imposed on you, or the cost of responding to a regulator; or
  • loss arising from acting, or not acting, on the Service’s content or answers without taking your own professional advice.

Subject to the first paragraph of this section, our total liability arising out of or in connection with these terms or the Service, whether in contract, tort (including negligence) or otherwise, is limited to the fees you paid us in the 12 months before the event that gave rise to the claim.

Except as these terms expressly say, the Service is provided without any warranty, condition or other term, express or implied, to the fullest extent the law allows, including any term that its content is complete, current or fit for a particular purpose.

15. Changes to these terms

We may update these terms. The date at the top of this page shows when they last changed. If a change is material, we will tell workspace owners and admins by email or in the app at least 30 days before it takes effect, unless the law requires it sooner. If you continue to use the Service after a change takes effect, the updated terms apply.

16. General

Transfer. We may transfer our rights and obligations under these terms to a company in our group or to a successor to our business, including a company we establish in another country, and will tell you if we do. You may not transfer yours without our written consent.

Other services. The Service relies on the providers named in our Privacy Policy. Links to official sources and other websites are provided for convenience, and we are not responsible for their content.

Entire agreement. These terms, together with the documents they refer to, are the whole agreement between us about the Service and replace any earlier statements about it.

Severability and waiver. If any part of these terms is found unenforceable, the rest continues to apply. Not enforcing a right straight away does not mean giving it up.

Third parties. Only you and we have rights under these terms.

Notices. We send notices to the email addresses of your workspace’s owners and admins. Send yours to support@lextra.ai.

Governing law and jurisdiction. These terms, and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims), are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over them.
